Please read these terms and conditions carefully before using our agricultural marketplace platform.

Introduction
Welcome to Shiftlink ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our agricultural marketplace platform, including our website (www.shiftlink.co.in), mobile applications, and related services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy, available at www.shiftlink.co.in/privacy-policy. Please read them carefully before proceeding.
Shiftlink operates as an online marketplace connecting agricultural producers, vendors, and consumers nationwide. We facilitate transactions between buyers and sellers but are not directly involved in the actual sale of products.

By using the Platform, you confirm that you are at least 18 years old or accessing the Platform under the supervision of a parent or legal guardian.
3. User Accounts
3.1 Account Creation
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old to create an account, or have parental consent if under 18
- One person or entity may maintain only one account, though business entities may designate authorized users under a single account, subject to our approval
3.2 Account Responsibilities
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account at support@shiftlink.co.in
- We reserve the right to suspend or terminate accounts that violate these Terms. Users may appeal suspensions or terminations by contacting support@shiftlink.co.in
4. Vendor Terms
4.1 Product Listings
- All product information must be accurate, up-to-date, and comply with applicable food safety and agricultural regulations
- Images must accurately represent the actual products
- Pricing must be clearly stated, include all applicable fees, and is subject to change until order confirmation. Buyers will be notified of any price changes prior to order confirmation
- We reserve the right to limit quantities or discontinue products at any time without notice
- Vendors must provide verifiable documentation of licenses and certifications upon request by Shiftlink or buyers
4.2 Quality Standards
- Products must meet or exceed industry quality standards
- Organic and certification claims must be verifiable
- Products must be properly packaged and labeled
- Vendors must maintain appropriate licenses and certifications
4.3 Order Fulfillment
- Orders must be processed within the timeframes specified in the vendor agreement or Platform guidelines
- Vendors are responsible for proper packaging and shipping
- Any delays or issues must be communicated promptly to buyers
- Vendors must provide tracking information when available
5. Buyer Terms
5.1 Purchase Process
- All purchases are subject to vendor acceptance. We or vendors may refuse or cancel orders due to product unavailability, pricing errors, suspected fraud, or other reasonable grounds
- Prices are subject to change until order confirmation, with notification to buyers
- Payment must be made through approved payment methods (Visa, MasterCard, PayPal, Apple Pay)
- Buyers are responsible for providing accurate delivery information
- Orders will not be processed or shipped until payment is successfully processed
5.2 Product Inspection
- Buyers should inspect products upon delivery
- Any quality issues must be reported within 24 hours of delivery for perishable products or within 7 days for non-perishable products, subject to our Return Policy at www.shiftlink.co.in/return-policy
- Returned products must be unused, in original packaging, and include all tags or labels
- Photographic evidence may be required for quality claims
6. Payment Terms
6.1 Payment Processing
- We use secure third-party payment processors
- Payment is due at the time of order placement and must be completed before order processing or shipping
- We accept UPI, Visa, MasterCard, PayPal, and Apple Pay
- All transactions are processed in INR unless otherwise specified
6.2 Fees and Charges
- Platform fees may apply to vendor transactions, as outlined in the vendor agreement
- Payment processing fees are handled by third-party processors
- Shipping and handling charges are determined by vendors and displayed at checkout
- Applicable taxes will be calculated and displayed at checkout
6.3 Refunds and Disputes
- Refund eligibility is determined by our Refund Policy at www.shiftlink.co.in/refund-policy
- Disputes should be reported through our dispute resolution system at support@shiftlink.co.in
- We may hold payments during active disputes
- Chargebacks may result in account suspension
7. Prohibited Activities
The following activities are strictly prohibited on our Platform:
- Listing counterfeit, adulterated, or unsafe products
- Providing false or misleading product information
- Engaging in fraudulent or deceptive practices
- Violating intellectual property rights
- Manipulating reviews or ratings
- Circumventing Platform fees or payment systems
- Posting or transmitting harmful, abusive, or offensive content
- Using bots, scrapers, or other automated systems to access the Platform without prior written permission
- Harassing or threatening other users
- Violating applicable laws or regulations
- Attempting to gain unauthorized access to user accounts or Platform systems
8. Intellectual Property
8.1 Platform Content
All content on the Shiftlink Platform, including text, graphics, logos, images, and software, is owned by Shiftlink or its licensors and is protected by copyright and other intellectual property laws.
8.2 User Content
- You retain ownership of content you upload to the Platform
- You grant Shiftlink a non-exclusive, nationwide, royalty-free license to use, display, and distribute your content for Platform operations
- You represent that you have the right to upload and use your content and that it does not infringe on others' rights
- To report intellectual property infringements, contact legal@shiftlink.co.in with details of the alleged violation
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Shiftlink acts as an intermediary between buyers and vendors and is not responsible for the quality, safety, or legality of products listed
- We do not guarantee the accuracy of product descriptions or vendor information
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform or products, except as required by law
- We do not warrant uninterrupted or error-free Platform operation
- Some jurisdictions do not allow the exclusion of certain warranties or liabilities, so the above limitations may not apply to you
10. Indemnification
You agree to indemnify and hold harmless Shiftlink, its officers, directors, employees, and agents from any claims, damages, losses, or expenses, including reasonable attorney fees and costs, arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Products you list or sell through the Platform
- Any content you upload or submit
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting support@shiftlink.co.in. You remain responsible for any outstanding obligations.
11.2 Termination by Us
We may suspend or terminate your account immediately if you violate these Terms or engage in prohibited activities. We may also terminate accounts for business reasons with 30 days' notice.
11.3 Effect of Termination
- Your access to the Platform will be revoked
- Outstanding orders may be canceled
- Certain provisions of these Terms (e.g., Sections 8, 9, 10, 12) will survive termination
- We may retain your information as required by law
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of Maharashtra, India, without regard to conflict of law principles.
12.2 Dispute Resolution
- We encourage resolving disputes through our internal dispute resolution process at support@shiftlink.co.in
- If internal resolution fails, disputes will be resolved through binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996
- You waive the right to participate in class action lawsuits to the extent permitted by law
- Some jurisdictions may not allow certain limitations, so the above may not apply to you
13. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Post the updated Terms on our Platform
- Update the "Last Updated" date
- Notify users of significant changes via email or Platform notification at least 30 days before changes take effect
Your continued use of the Platform after the notice period constitutes acceptance of the updated Terms.
